Force Majeure

Our policy regarding extraordinary events beyond our reasonable control

Effective Date: March 11, 2026

This Force Majeure policy forms part of the Terms and Conditions governing your use of the Soulene application, operated by S3 Cubes Innovations Pvt Ltd ("Service Provider", "we", "us", or "our"). It sets out the circumstances under which the Service Provider will not be held liable for failure or delay in performance.

Definition

A "Force Majeure Event" means any event or circumstance beyond the reasonable control of the Service Provider that prevents or delays the performance of any obligation under these Terms and Conditions or the provision of the Application and its services. Such events include, but are not limited to, the categories described below.

The Service Provider shall not be liable for any failure or delay in its performance under these Terms if such failure or delay is caused by a Force Majeure Event, provided that the Service Provider gives prompt written notice of such event and uses reasonable efforts to resume performance as quickly as possible.

Force Majeure Events

The following are considered Force Majeure Events for the purposes of this policy:

Natural Disasters

Earthquakes, floods, storms, hurricanes, wildfires, or other acts of nature.

Government Actions

Laws, regulations, embargoes, or government orders that prevent service delivery.

War & Civil Unrest

Acts of war, terrorism, riots, civil disturbances, or military actions.

Pandemics & Epidemics

Widespread disease outbreaks that materially affect operations or staff.

Power & Infrastructure

Power failures, internet outages, or failures of critical infrastructure.

Cyber Attacks

Large-scale cyberattacks, DDoS events, or third-party platform outages outside our control.

Labour Disputes

Strikes, lockouts, or industrial actions affecting our supply chain or service.

Third-Party Failures

Failures by critical third-party providers (cloud, AI, payment processors) beyond our control.

Effect on Obligations

Where practicable, the Service Provider will communicate any material Force Majeure Event to users through one or more of the following channels:

The Service Provider will provide updates on the expected duration of the event and steps being taken to restore service, where such information is available.

Governing Law

This Force Majeure policy and its interpretation are governed by the laws of India. Any disputes arising in connection with this policy shall be subject to the exclusive jurisdiction of the courts of India, unless otherwise required by applicable mandatory law.
